| Raymond W. Johnston, Chair |
Mr. Raymond Johnston is the Chair of the Board of OSI Geospatial and has been since November 2000. He also served as Chair of the Board from December 1994 to September 1998. Mr. Johnston is the Chair of the Executive Committee and the Human Resources and Compensation Committee and a member of the Audit Committee.
Mr. Johnston's background includes more than 25 years of experience in the marine industry. Since December 1999, Mr. Johnston has been President of the Chamber of Maritime Commerce which represents more than 130 organizations that include major Canadian and American shippers, ports and marine service providers, as well as domestic and international shipowners. Prior to joining the Chamber of Maritime Commerce, Mr. Johnston held the position of President and CEO at Canada Steamship Lines Inc. of Montréal. Over his 23 years' tenure with Canada Steamship Lines, Mr. Johnston held various senior executive positions and developed an extensive background in marketing, finance and operations within the Canadian and U.S. shipping industry and gained significant international experience in developing new markets and contracts in Europe and Asia. Mr. Johnston is currently a member of the Canadian Committee of Lloyd's Register of North America, and a member of the Canadian Committee of Germanischer Lloyd. He holds a Bachelor of Commerce degree and a Master of Business Administration degree from Concordia University in Montréal. |

| Kenneth Kirkpatrick |
Mr. Ken Kirkpatrick has served on the Board of OSI Geospatial since November 2005. He is a member of the Executive Committee.
Mr. Kirkpatrick is President and CEO of OSI Geospatial and has been since November 2005. He joined OSI Geospatial in May 2001 and held the position of Chief Operating Officer. He has been instrumental in the development and execution of the company’s growth strategy and has grown OSI Geospatial through expansion of the company’s product offering and customer base and through strategic acquisitions. Prior to OSI Geospatial, Mr. Kirkpatrick held the position of Chief Operating Officer of Triathlon Limited, a mapping and data production subsidiary of MacDonald, Dettwiller and Associates Ltd., where he played a pivotal role in Triathlon’s aggressive growth. Prior to Triathlon, Mr. Kirkpatrick was Vice President, International Operations of Geotrain Corporation, at the time the world’s largest independent training organization for Cisco Systems. Mr. Kirkpatrick has also held several management positions at MacDonald, Dettwiller and Associates Ltd., an information products and services company. |

| Helmut F. Lobmeier |
Mr. Helmut Lobmeier has served on the Board of OSI Geospatial since April 1990. He is a member of the Audit Committee.
Mr. Lobmeier is an independent businessman. He co-founded P.S.L. Steel Ltd. in 1979, a successful steel fabrication company based in Maple Ridge, BC. He sold his position in P.S.L. Steel in the year 2000 and retired from the steel industry. Since 1984, Mr. Lobmeier has contributed his management experience and expertise to the company; this included providing seed capital to launch ECPINS 9000 - the forerunner to the company’s ECDIS System. He was also instrumental in obtaining listings both on the Vancouver Stock Exchange in 1990 and on the Toronto Stock Exchange in 1994. |

| Captain Walter P. Purio |
Captain Walter Purio has served on the Board of OSI Geospatial since January 1999. He is a member of the Human Resources and Compensation Committee.
Captain Purio brings significant expertise in marine navigation and military applications to OSI Geospatial. Since May 2000, Captain Purio has served as President of Bailey Martin Inc., which provides executive consulting services in marine safety and quality and environmental management systems. In addition to his duties with Bailey Martin, Captain Purio deploys regularly as Master of the SS Cape Jacob, a Military Sealift Command vessel pre-positioned in Diego Garcia. In 1993 Captain Purio founded P and H Marine Associates, Inc., a maritime quality and safety consultancy. At the opening of the Gulf War in 1990 until the summer of 1991, Captain Purio was called back to active duty and deployed on the USNS Meteor, one of the first ships activated for Operation Desert Shield/Storm.
Captain Purio attended U.S. Naval Flight Training and was designated a Carrier Qualified Tactical Jet pilot in 1982 on both the A4 Skyhawk and the A-6 Intruder aircraft. He graduated from the U.S. Merchant Marine Academy at Kings Point, NY in 1978 and qualified as a Surface Warfare Officer aboard the USS Worden. He holds an MBA in Finance and Business Policy from the University of Chicago, and an MBA in International Business and a Certificaat van Aspekten Europese Integratié from the Katholieke Universitat Leuven in Belgium. |

| Gerald J. Shields |
| Mr. Gerald Shields has served on the Board of OSI Geospatial since April 2005.
Mr. Shields is a principal of Providia Investment Group, which is engaged in the business of merchant banking. Prior to joining Providia in November of 2006
Mr. Shields spent approximately 27 years as a practicing lawyer, most recently as a partner with the Vancouver firm of Clark Wilson LLP where he was a member of the Corporate Finance and Securities Department. Mr. Shields has extensive experience in advising both public and private companies on a broad range of legal matters including equity financings, acquisitions and mergers, takeovers, commercial lending, commercial leasing, corporate governance and general corporate and securities law. His clients included TSX and TSX-V listed companies as well as owner managed businesses. Mr. Shields was called to the Alberta bar in 1981 and the British Columbia Bar in 1987. He obtained his Bachelor of Laws degree from the University of Western Ontario in 1979. |

| Donald W. Young |
Donald W Young has served on the Board of OSI Geospatial Inc. since March 2006. Mr. Young is the Chair of the Audit Committee and a member of the Executive Committee.
Through Clifftop Advisory Services Co., Mr. Young provides management advisory services on effective business planning and financial matters. He is a former senior audit partner and a business consulting partner with KPMG LLP. Mr. Young has held senior volunteer positions with not for profit organizations. He is Past President and a Fellow of the Institute of Chartered Accountants of British Columbia and a past member of the Executive Committee and Board of Governors of the Canadian Institute of Chartered Accountants. Donald serves as Audit Committee Chair and a member of the Corporate Governance Committee of Kimber Resources Inc.
